Unless otherwise stated, the terms below have the following meaning:
AboutRides: the entity operating the Platform and associated services.
Platform: the web CRM, REST API, «AboutRides Driver» mobile app and other technical services.
Operator (tenant): the legal entity contracting use of the Platform.
User: any natural person with an account on the Platform (Admin, Manager, Operator, Driver, Partner).
End client / passenger: third party whose data is processed by the Operator in the operational context.
Partner: sub-tenant linked to a master Operator under a Partnership Contract (see section 7).
Terms: this document.
By creating an account, contracting the Platform or using any services, you declare full acceptance of these Terms, the Privacy Policy and any supplementary agreements (including the Partnership Contract where relevant).
These Terms are intended exclusively for B2B relationships. Natural persons creating or administering accounts declare to be at least 18 years old and to have legal capacity to bind the entity they represent.
The Platform is not intended for consumers within the meaning of Portuguese Decree-Law 24/2014. If you are a consumer, do not create an account or use the service.
If you disagree with any part of these Terms, you must refrain from creating an account or using the Platform.
AboutRides provides, on a Software-as-a-Service (SaaS) basis, a Platform for transfers operations management — including bookings, driver assignment, geolocation during active trips, driver invoicing, partner management, notifications and operational dashboards.
Access is granted for the period of the active subscription, according to the plan contracted.
AboutRides periodically updates the Platform to fix defects, improve performance or add functionality. Non-essential functionality may be discontinued with 30 days' prior notice.
AboutRides is not a transport carrier, does not operate vehicles, has no own drivers, is not a mediator of public transport or TVDE, and is not the Operator's agent.
AboutRides is not a party to any transport contract entered into between the Operator and its end client.
Liability for the physical execution of transfers, the quality of the service provided, driver conduct, vehicle maintenance, insurance, licensing (TVDE — Portuguese Decree-Law 45/2018 where applicable), tax, labour and social-security compliance rests solely with the Operator.
Each Operator designates a Primary Admin, responsible for creating other users and defining permissions.
The Operator is responsible for (a) accuracy of registration data, (b) ongoing update of that data, (c) confidentiality of credentials, (d) all activity carried out under its account, including by unauthorised collaborators.
The Operator shall immediately notify [email protected] upon suspected compromise. AboutRides is not liable for losses arising from misuse before notification.
Sharing credentials between users is prohibited. Each natural person must have their own account.
The Operator represents and warrants, throughout the period of use of the Platform, that:
It is legally constituted and holds the necessary licences for its activity (TVDE, occasional transport, or other applicable).
It maintains the mandatory insurance for its fleet and professional civil liability.
It complies with tax, labour and social-security obligations applicable to drivers and other staff.
It processes personal data of its end clients and drivers in compliance with the GDPR as Controller — including informing data subjects and responding to rights requests.
It does not use the Platform for illegal, discriminatory, fraudulent or immoral activities.
It complies with judicial and administrative decisions concerning its activity. AboutRides assumes no subsidiary liability.
Before creating partners, the master Operator configures a Partnership Contract template, which is presented to the Partner for electronic signature. The Partner is in soft-block until signing.
The Partnership Contract is binding. AboutRides records IP, user agent, UTC timestamp, contract hash and the typed confirmation, and provides a PDF copy to both parties.
When the Operator purchases trips via the AboutRides Marketplace, the transport contract is entered into between the acquiring Operator and the originating Operator. AboutRides acts solely as a technical mediation platform, and is not a party to the transport contract.
Stripe pre-payment secures the booking. Cancellations after claim follow the cancellation policy applicable to that trip.
Disputes between Operators arising from Marketplace transactions are resolved directly between the parties; AboutRides may mediate upon request, but is not bound by the resolution.
The service may start with a free trial, depending on the current offer. After the trial, an active subscription is required to maintain access.
Prevailing prices are those of the plan contracted. Price changes apply at the next renewal and are communicated 30 days in advance.
Payments are processed by Stripe (card or other accepted methods). The Operator authorises recurring debits on the chosen method.
Upon payment failure, we send notice, grant 7 days for regularisation, and at the end of that period suspend access. After 30 days of non-payment, we may terminate and initiate extrajudicial and judicial collection.
Invoices are issued according to Portuguese tax law, available in the CRM under Invoicing.
After contracting, there is no entitlement to a pro-rata refund for the unused portion of the month, save for defect attributable to AboutRides or termination for cause by us.
AboutRides may suspend or terminate access, in whole or in part, with immediate effect, in case of: breach of these Terms, prolonged payment failure, reasonable suspicion of fraud or misuse, order by a competent authority, or technical need to protect the Platform.
Preventive suspension may be applied without prior notice to contain damage. We notify of the reasons within a reasonable time.
The Operator may terminate the subscription at any time, effective at the end of the current billing cycle. No pro-rata refund.
After termination, the Operator has 30 days to export its data. Thereafter, non-tax data is deleted; tax data is retained for 10 years by legal obligation.
Without prejudice to other conduct that is illegal or contrary to these Terms, it is prohibited to:
Attempt to access accounts, data or resources of other Operators without explicit authorisation.
Reverse engineer, decompile, decrypt or attempt to extract the source code of the Platform.
Overload the Platform (DoS attacks, massive scraping, exceeding rate limits, abusive automation).
Enter third-party personal data without a lawful basis.
Use the Platform to distribute malware, spam or unlawful content.
Resell or sub-license access to the Platform without AboutRides' written authorisation.
Forge identity, circumvent security mechanisms, or abusively automate.
Violations result in immediate suspension and termination. We reserve the right to recover costs and to seek judicial redress.
AboutRides will use reasonable efforts to keep the Platform available, but does not guarantee any specific SLA unless separately agreed in writing.
Scheduled maintenance windows are communicated at least 48 hours in advance whenever possible, preferably during low-use hours.
Unavailability due to force majeure, sub-processor failures, emergency maintenance or third-party acts does not give rise to indemnity.
All rights in the software, AboutRides brand, logos, Platform design, documentation and other materials remain with AboutRides or its licensors.
The Operator is granted a non-exclusive, non-transferable, non-sublicensable, revocable licence, limited to the European territory, to use the Platform during the subscription period and strictly for its own business purposes.
Data entered by the Operator into the Platform remains the property of the Operator or the respective data subjects. The Operator grants AboutRides a non-exclusive, worldwide, limited licence to process such data as strictly necessary to provide the service.
Feedback voluntarily provided by the Operator (suggestions, bug reports) may be used by AboutRides without compensation or attribution obligation.
Each party undertakes to keep confidential all non-public information of the other party to which it gains access during the relationship, throughout its duration and for 5 years after termination.
Exceptions: information publicly known without fault of the receiving party; independently developed information; information whose disclosure is required by law or judicial order — in which case, with prior notice to the other party whenever legally permitted.
The obligation does not prevent disclosure to auditors, lawyers or consultants subject to equivalent confidentiality duties.
The roles of Controller and Processor are described in the Privacy Policy.
For personal data the Operator enters into the Platform (end clients, drivers, passengers), the Operator acts as Controller and AboutRides as Processor (Art. 28 GDPR). These Terms, together with the Privacy Policy, constitute a Data Processing Agreement (DPA).
The Operator warrants that it has collected the data in compliance with the GDPR and that it has a lawful basis to transfer it to AboutRides.
AboutRides processes data only according to documented instructions of the Operator (as configured in the CRM), implements appropriate technical and organisational measures and assists the Operator in handling rights requests.
Upon learning of a personal data breach, AboutRides notifies the Operator without undue delay.
After termination, non-tax data is deleted or returned at the Operator's choice, save for legal retention.
AboutRides may engage the sub-processors listed in the Privacy Policy. Material additions are communicated 30 days in advance and the Operator may object, terminating the contract without cost if no agreement is reached.
AboutRides signs Art. 28 GDPR agreements with each sub-processor, with equivalent obligations.
The Platform is provided «as is» and «as available». Without prejudice to the Operator's mandatory rights, AboutRides expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data or absence of errors.
AboutRides does not warrant that: (a) the Platform meets all of the Operator's requirements; (b) operation will be uninterrupted, timely, secure or error-free; (c) results obtained will be accurate or reliable; (d) defects will be corrected.
To the maximum extent permitted by law, AboutRides' total aggregate liability to the Operator, for any cause and in any 12-month period, is capped at the amount actually paid by the Operator to AboutRides in those same 12 months immediately preceding the event giving rise to liability.
AboutRides shall not in any event be liable for loss of profits, loss of revenue, loss of business opportunity, indirect, special, incidental, consequential or punitive damages, even if advised of the possibility.
The limitations in this section do not apply to: (a) AboutRides' wilful misconduct or gross negligence; (b) breach of confidentiality obligations; (c) infringement of intellectual property rights; (d) obligations that cannot be limited under mandatory law.
The Operator undertakes to indemnify and hold AboutRides, its staff and agents harmless from and against all losses, damages, costs (including reasonable lawyers' fees) and liabilities arising from:
Breach of these Terms by the Operator or its users.
Misuse of the Platform.
Physical operation of transfers (accidents, conflicts with clients, damage to third parties, fines, etc.).
Data subject claims regarding processing done by the Operator as Controller.
Tax, labour or social-security claims concerning the Operator or its drivers/staff.
Infringement of third-party rights by content entered by the Operator.
Neither party is liable for non-performance caused by force majeure — including natural disasters, wars, terrorism, pandemics, governmental decisions, public infrastructure failures, massive cyberattacks or prolonged unavailability of critical sub-processors — provided the affected party (a) notifies the other as soon as possible and (b) takes reasonable mitigation measures.
Official notices from AboutRides to the Operator are made by (a) the email registered on the account and (b) banners or messages within the Platform.
Notices from the Operator to AboutRides shall be sent to [email protected], deemed delivered on the next business day after sending.
Assignment by the Operator: requires written consent from AboutRides.
Assignment by AboutRides: free, in particular in case of merger, acquisition or sale of assets. We notify by email.
Changes to the Terms are communicated by email with 30 days' prior notice for material changes. Continued use after the effective date constitutes acceptance. Disagreeing, the Operator may terminate the contract without cost up to that date.
Failure by either party to enforce any provision does not waive the right to enforce it later.
These Terms, together with the Privacy Policy and any written addenda, constitute the entire agreement between the parties, superseding prior communications.
If any provision is found invalid or unenforceable, the remainder remains in force; the invalid provision is interpreted to produce the legal effect closest to the parties' intent.
Section headings are indicative only.
Versions in other languages are courtesy translations. In case of divergence, the Portuguese version prevails.
These Terms are governed by Portuguese law, excluding conflict-of-laws rules.
For the resolution of disputes arising out of or in connection with these Terms, the parties elect the courts of the District of Lisbon, Portugal, as the exclusively competent venue, expressly waiving any other.
Before resorting to judicial courts, the parties undertake to attempt amicable resolution in writing for 30 days following notice of the dispute.
